Changes in Sif’s Supervisory and Executive Boards

Nomination of two new Supervisory Board members and intention to appoint new Executive Board member.

Roermond, The Netherlands, 26 March 2025. The Supervisory Board of Sif Holding N.V. nominates Mr Neil McArthur and Mr Mathijs Koster for appointment to the Supervisory Board and announces its intention to appoint Mr Boudewijn van Schaïk as a new Executive Board member. The changes will be tabled for the Annual General Meeting of Shareholders to be held on 9 May 2025 in Rotterdam.

Chair of the Supervisory Board
The chair of the Supervisory Board Peter Gerretse will resign at the close of the upcoming 2025 AGM in accordance with the Company’s rotation schedule. The Supervisory Board nominates Neil McArthur for appointment to the Supervisory Board. It is the Board’s intention to appoint him chair of the Supervisory Board.

Neil McArthur (1961, Dutch and British nationalities) is a chartered mechanical engineer CEng MIMechE with an honors degree in Civil Engineering from the University of Glasgow and an MBA from INSEAD. Neil is currently an Independent non-Executive Director at Southern Water in the U.K. (Chair Health & Safety and Operational Risk Committee) and non-Executive Director of AFRY AB in Sweden (Member of Projects Committee).

As an executive, Neil was the former Chairman of the Executive Board and CEO of Arcadis N.V., Executive Board member of Booz Allen Hamilton/Booz & Company and Senior Partner in Oliver Wyman’s Energy Practice. Neil started his career with Shell International Petroleum Maatschappij Exploration & Production managing large scale offshore and onshore projects in Qatar and The Netherlands. Neil does not own shares in Sif Holding N.V.

Member of the Supervisory Board
According to the rotation schedule, Supervisory Board member Peter Visser would resign in 2026. Peter Visser has indicated his wish to step down at the close of the 2025 AGM to focus on managing the growth of Egeria’s businesses abroad. The Supervisory Board nominates Mathijs Koster for appointment to the Supervisory Board on the basis of the right of binding nomination that Grachtenheer 10 B.V. has in accordance with the relationship agreement with the company.

Mathijs Koster (1986, Dutch nationality) holds a Master Degree in Business Administration – Finance from the Rijksuniversiteit Groningen. He has been an investment director in Egeria’s private equity team since 2021. He previously worked in M&A and Leveraged Finance at ABN AMRO Bank from 2010 to 2015, as a portfolio manager at Goldman Sachs Asset Management (formerly: NN Investment Partners) from 2015 to 2017 and as a senior investment manager Venture Capital and Private Equity at Walvis Venture Capital fund from 2017 to 2021.

Mathijs Koster is a member of the Supervisory Board of Royal Mosa and chairman of the Supervisory Board of Leads.io. He attended the meetings of the Supervisory Board and Committees of the Supervisory Board of Sif as an observer for cornerstone shareholder Grachtenheer 10 B.V. since 2021. Mathijs Koster does not own shares in Sif Holding N.V. in person.

Member of the Executive Board and CFO
In accordance with the rotation schedule, Executive Board member and CFO Ben Meijer will resign at the close of the 2025 AGM. The Supervisory Board gives notice of its intention to appoint Boudewijn van Schaïk as a member of the Executive Board to succeed Ben Meijer as the CFO of the Company.

Boudewijn van Schaïk (1979, Dutch and South African nationalities) currently is CFO at Avantium N.V. Before being appointed at Avantium in January 2023, he held senior positions from 2013 to 2022 in treasury, strategy and M&A at SBM Offshore, including the position of corporate finance director. Prior to this, he served in various senior finance positions at NIBC Bank, ABN AMRO Bank, Main Corporate Finance and Alexander Forbes in South Africa. Boudewijn van Schaïk holds a Business Science degree (accounting and corporate finance) from the University of Cape Town South Africa. Boudewijn does not own shares in Sif Holding N.V.

Fred van Beers, CEO: ”At the next Annual General Meeting of Shareholders on 9 May 2025, three directors that have been of crucial importance to Sif in realizing the extension of our manufacturing facilities, will step down. Peter Gerretse and Peter Visser have been involved in Sif as members of the Supervisory Board from the time of the IPO of the Company. They have made significant contributions to the growth of the Company and its leading position in the offshore wind industry. Ben Meijer has been my financial conscience in the past four years. He has been leading in the financing and budgeting of the 328 million euro investment project. I’m very grateful for the contributions that Peter, Peter and Ben have made and appreciate Ben’s availability for the next 6 months to assist Sif as a trusted advisor in closing the investment program and transferring his experience to Boudewijn. I welcome Neil, Mathijs and Boudewijn and look forward to our future cooperation. I have great confidence that we will build on the foundations that have been laid during the past years.”

Extended resumes of Neil McArthur, Mathijs Koster and Boudewijn van Schaïk will be available at the Company’s offices from 27 March 2025 and will be attached to the Notice of the Annual General Meeting of Shareholders that will be published on 26 March 2025.
